Job Purpose:

Support and assist the delivery of timely, high quality, strategic legal support to Saudi Kayan company, management and board to meet legal and compliance requirements for Saudi Kayan function & its subsidiaries.

Providing the company professional consultation in legal affairs that may consists of drafting legal documents, and structuring solutions.

 

Key Accountabilities:

  • Global representation of the company before government entities and courts in all relevant legal matters.
  • Draft, review and negotiate all sorts of commercial agreements in which Saudi Kayan and its subsidiaries for a variety of third parties’ contractual relationship and advising the appropriate language, organization and professional opinion.
  • Provide strategic and practical advice to Saudi Kayan different functions as well as day to day legal advice and support on commercial and legal risk in order to identify, contain and manage exposure and risk to the company
  • Engage with CEO and executive management for legal analysis of Company's strategic projects and providing structuring solutions for all legal matters.
  • Support different functions (Business - Finance – Technical – Operations Maintenance - Audit), with strategic legal support to ensure compliance with local and international laws and treaties.
  • Lead legal work stream in different kind of growth projects such as M&A transaction, managing the process of legal due diligence, SPA drafting, Shareholders Circular, obtaining regulatory approvals, and EGM preparations etc.
  • Maintain the administration and records for all Saudi Kayan's contracts and legal documents.
  • Instructing and managing the work provided by external counsel/service on variety of legal matter ensuring that standers for services delivery and cost are met.
  • Give advises as appropriate on Company Bylaws and Master Authority Schedule (MAS), Companies Regulations, Saudi Kayan Corporate structure and documents, Term sheets, Shareholders (SHA) or Joint Venture Agreements (JVA), Public disclosures to markets and government authorities.
  • Developing employee’s communication Speak-up, policy and management reviewing. Developing training material attending Compliance training events and supporting investigations and data analysis

 

Requirements:

  • Bachelor Degree in Law or LL.M 

 

Minimum Experience:

 

  • 7-9 years of experience

  • Consultation: sufficient knowledge of the organization to provide appropriate advice and legal view.
  • Advocacy: ability to develop and present alternatives and positions to resolve issues under consideration
  • Leadership and collaboration: demonstrated skills and abilities needed to coordinate, facilitate and participate in a collaborative project to the fulfillment of the legal tasks or assignments
